Terms of Service

1. Agreement

These Terms of Service govern your use of getcomfiai.com and the Comfi.ai invoice financing platform (the "Service") operated by Comfi AI Ltd ("the Company," "we," "us," or "our") (Gate Avenue, DIFC, Level 1, Dubai, United Arab Emirates). By accessing or using the Service, or by submitting a financing application, you accept these Terms in full. Nothing in these Terms limits any rights you may hold under mandatory laws applicable in your country of residence or business registration.

These Terms apply to visitors and registered users of the platform. A separate Financing Agreement governs the specific commercial terms of any invoice financing facility extended to your business; in the event of conflict between that Financing Agreement and these Terms, the Financing Agreement prevails on the subject matter of the financing transaction.

2. Eligibility and Use of the Service

To apply for invoice financing through the Service, your business must be duly incorporated or registered, and your authorized representative must have authority to bind the entity. The following conditions apply to all users:

• You must be of legal age to enter binding contracts in the jurisdiction where your business is registered.
• You agree not to use the Service unlawfully, to submit fraudulent or misrepresented invoices, to interfere with platform operation, or to attempt unauthorized access to any account or system.
• You may not scrape, reverse-engineer, or copy any part of the Service except as expressly permitted by mandatory law.
• You acknowledge that the Service is a financial product and that submitting inaccurate information in a financing application may constitute a regulatory or criminal offence under UAE law.

3. Intellectual Property

The Service, including the AI scoring engine, platform software, design, and content, is owned by the Company or its licensors and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service solely for the purpose of submitting and managing invoice financing applications for your own business. No other licence is granted.

4. User Content and Invoice Data

You are responsible for the accuracy, completeness, and authenticity of all invoices, documents, and financial data you submit through the Service. By submitting content, you grant the Company a limited licence to use, store, and process that content for the purpose of evaluating your application, servicing any approved financing, meeting KYC and AML obligations, and improving the scoring service on an aggregated and anonymized basis. We do not sell your invoice data or use invoice contents to train models made available to third parties.

You warrant that you hold the right to submit each invoice for financing, that each submitted invoice represents a bona fide and undisputed debt owed by the buyer named on the invoice, and that you have not assigned the same invoice to any other financier.

5. Disclaimers

The Service is provided on an "as is" and "as available" basis. The Company makes no representations that the Service will be uninterrupted or error-free. We disclaim all warranties to the maximum extent permitted by applicable law. A financing decision output by the AI scoring engine is the Company's assessment at the time of application; it is not a guarantee of credit quality or future performance of the invoice. Mandatory consumer or business warranties applicable under the laws of your country of residence are not affected by this disclaimer.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from or related to the Service will not exceed the greater of (a) the fees paid by you to the Company in the three months preceding the event giving rise to the claim, or (b) USD 100, except for liability that cannot be limited under mandatory law. The Company will not be liable for indirect, consequential, or loss-of-profit damages arising from use of the Service.

7. Indemnification

You agree to indemnify and hold harmless the Company from any claims, liabilities, damages, penalties, and costs (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, the submission of inaccurate or fraudulent invoices, or your violation of any applicable law or third-party right.

8. Termination

The Company may suspend or terminate your access to the Service for breach of these Terms or any applicable law, or where we are required to do so by a regulatory authority. Outstanding financing facilities remain subject to their individual Financing Agreements after termination of platform access. Sections 4, 6, 7, and 9 survive termination by their nature.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates, including where applicable the laws and regulations of the Dubai International Financial Centre. Disputes arising from or relating to these Terms are subject to the non-exclusive jurisdiction of the competent courts in Dubai, the United Arab Emirates, without prejudice to any mandatory rights you hold under the laws of your country of residence or business registration.

10. Changes and Contact

The Company may update these Terms from time to time. Material changes will be posted with a new "Last updated" date. Continued use of the Service after a change is posted constitutes acceptance. If you do not accept the revised Terms, stop using the Service and contact us to close your account.
